Our Corporate/M&A group has extensive experience advising and assisting with cross-border and domestic corporate reorganizations and restructurings. We work closely with tax, labor, and intellectual property law specialists and attorneys in other practice groups to assist clients with a variety of procedures, including recapitalization, spin-offs, IPOs, business integration and liquidation of businesses. Our approach for ensuring clients achieve a successful transformation is simple. We provide a solutions-led approach based on a client’s global objectives, project management by a close-knit team with the right expertise and experience, and collaboration with in-house teams to ensure we address all issues while minimizing disruption of day-to-day operations.

Representative Experience

Acted for an international electrical equipment company on the reorganization of its Japanese operations after its acquisition by another international electrical equipment company.
Acted for an international healthcare company and its Japanese subsidiary on its post-merger integration with a US pharmaceutical company’s Japan entities.
Advised a Japanese engineering and construction company on an absorption-type merger with its parent company in relation to the absorbed company’s worldwide operations, including its overseas branches in over 20 jurisdictions.
Advised a Japanese imaging and electronics company on its internal restructuring process to integrate several of its subsidiaries, which included facility management, information technology and human resources businesses.
Acted for a US manufacturer of household cleaning products and consumer chemicals on the spin-off of its non-core pet care business in Japan.
