It is our pleasure to invite you to Seminar 2 of Baker McKenzie’s seminar series, Navigating International Project Finance: “A closer look at key issues when developing and financing international projects”.

As indicated previously, the programme is designed for investors, developers, lenders, contractors and other participants in the project value chain impacted by financing considerations. Over the course of the seminar series, we will guide you through key concepts in project financing structures, risk management techniques, cash flow considerations, and financing sources as well as other key financing considerations, as they apply to the financing of projects in emerging markets.

Seminar 1, “Key issues in financing emerging market energy projects“, provided an overview of emerging market project financing by covering topics such as the key finance parties and documents, project bankability and risk mitigation, cash flow issues and hedging in project finance.

Seminar 2 will continue to address foundation concepts in the context of international projects. The topics have been selected by attendees from Seminar 1 and will explore and use case studies to look at:

• the key issues in joint venture and shareholder agreements;
• intercreditor issues in practice;
• equity contribution and completion support considerations;
• project document considerations from the lender’s perspective; and
• effective claim management in energy construction projects.
